you may bid on the Shares in the Auctions part of the Trading Board. If there are no Shares currently on the Board, you may add a Posting in order to encourage a Shareholder to sell.

If you are a Shareholder you may sell your Share(s) on Auctions to the highest bidder. You should also check the Postings to see if anyone has posted any Offers that you are interested in.

Definitions:

Auctions contain Shares that are for sale by Auction. Once placed on the Board the Shares will be sold to the highest bidder.

Postings contain offers by persons interested in buying Shares. A person may add a Posting in order to create a market in the event there are no Shares for sell on the Board. You may also use Postings to target specific Shares.


Trading Board User Agreement:

THE FOLLOWING DESCRIBES THE TERMS ON WHICH ARTSHARE.COM OFFERS YOU ACCESS TO OUR SERVICES. BY PRESSING THE "I ACCEPT" BUTTON, YOU ACCEPT THE TERMS AND CONDITIONS BELOW.

  1. Using the Artshare.com Trading board is FREE. You are responsible for paying all applicable taxes and for all hardware, software, service and other costs you incur to bid, buy, procure a listing, sell, trade or communicate using the Artshare.com site. We may in our sole discretion add, delete or change some or all of our services at any time.
  2. Artshare.com is Only a Venue. The Trading Board acts as a venue in the following TWO ways: (1) For Shareholders (sellers) to place Shares up for auction and for buyers to bid on sellers' auctions, and (2) For potential buyers to post offers to buy Shares and for the Shareholders (sellers) to contact the potential buyer. We are not involved in the actual transaction between buyers and sellers. As a result, we have no control over the quality, the truth or accuracy of the listings, the ability of sellers to sell items or the ability of buyers to buy items. We cannot and do not control whether or not sellers will complete the sale of items they offer or buyers will complete the purchase of items they have bid on. In addition, note that there are risks of dealing with foreign nationals, underage persons or people acting under false pretense.
  3. Because we do not and cannot be involved in user-to-user dealings, in the event that you have a dispute with one or more users, you release Artshare.com (and our agents and employees) from claims, demands and damages (actual and consequential) of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way connected with such disputes. If you are a California resident, you waive California Civil Code §1542, which says: "A general release does not extend to claims which the creditor does not know or suspect to exist in his favor at the time of executing the release, which if known by him must have materially affected his settlement with the debtor."

  4. Eligibility for Membership. The Artshare.com Trading Board is available only to individuals who can form legally binding contracts under applicable law. Without limiting the foregoing, our services are not available to minors. If you do not qualify, please do not use our services. Artshare.com may refuse Trading Board privileges to anyone at any time, in our sole discretion.

  5. Bidding and Buying. As a bidder, if you have the highest bid at the end of the auction, at or above the minimum bid price (or in the case of reserve auctions, at or above the reserve price), and your bid is accepted by the seller, you are obligated to complete the transaction. Bids are not retractable except in exceptional circumstances such as the seller materially changing the description of the item after your bid or clear typographical errors, or when you can not authenticate the identity of the seller.
  6. Listing and Selling. If you receive one or more bids at or above your stated minimum price (or in the case of reserve auctions, at or above the reserve price), then you are obligated to complete the transaction with the highest bidder, unless there is an exceptional circumstance, such as; (1) the buyer fails to meet the terms of your listing (such as payment method), or (2) you cannot authenticate the identity of the buyer.

    Without limiting any other remedies, Artshare.com may suspend or terminate your account if you are found (by conviction, settlement, insurance or escrow investigation, or otherwise) to have engaged in fraudulent activity in connection with our site.

  7. No Price Manipulation. Sellers may not manipulate the price of their item, either by using a shill (a secondary account or third party) or by bidding themselves.

  8. System Integrity. You may not use any device, software or routine to interfere or attempt to interfere with the proper working of the Artshare.com site or any auction or posting being conducted on our site. You may not take any action which imposes an unreasonable or disproportionately large load on our infrastructure.
  9. Breach.We may immediately issue a warning, temporarily suspend, indefinitely suspend or terminate your membership, any of your current auctions, and any other information you place on the site if you breach this Agreement or if we are unable to verify or authenticate any information you provide to us.
  10. Privacy. The Artshare.com Privacy Policy.
  11. No Warranty. WE PROVIDE THE ARTSHARE.COM WEBSITE AND OUR SERVICES "AS IS" AND WITHOUT ANY WARRANTY OR CONDITION, EXPRESS OR IMPLIED. WE SPECIFICALLY DISCLAIM THE IMPLIED WARRANTIES OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. Some states do not allow the disclaimer of implied warranties, so the foregoing disclaimer may not apply to you. This warranty gives you specific legal rights and you may also have other legal rights which vary from state to state.
  12. Limit of Liability. IN NO EVENT SHALL WE BE LIABLE FOR LOST PROFITS OR ANY SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES (HOWEVER ARISING, INCLUDING NEGLIGENCE) ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT.
  13. General Compliance with Laws. You shall comply with all applicable laws, statutes, ordinances and regulations regarding your use of our service and your bidding on, listing, trading, purchase and sale of Shares.
  14. Arbitration. Any controversy or claim arising out of or relating to this Agreement shall be settled by binding arbitration in accordance with the commercial arbitration rules of the American Arbitration Association. Any such controversy or claim shall be arbitrated on an individual basis, and shall not be consolidated in any arbitration with any claim or controversy of any other party. The arbitrary shall be conducted within the locale of Ben MacNeill, and judgment on the arbitration award may be entered into any court having jurisdiction thereof.

  15. General. We do not guarantee continuous, uninterrupted or secure access to our services, and operation of our site may be interfered with by numerous factors outside of our control. If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced. Headings are for reference purposes only and in no way define, limit, construe or describe the scope or extent of such section. Our failure to act with respect to a breach by you or others does not waive our right to act with respect to subsequent or similar breaches. This Agreement sets forth the entire understanding and agreement between us with respect to the subject matter hereof.
